Service Agreement for Service Providers (Squads) on Heroes Hive Platform
This Service Agreement ("Agreement") is entered into by and between Heroes Hive FZ LLC ("Platform", "we", "us", or "our"), the operator of the Heroeshive.com Website and Web Application ("Website" or "Web Application"), and the Service Provider ("Squad", "you", or "your"). This Agreement outlines the terms and conditions under which you provide services to Clients ("Hives") through the Heroes Hive Platform.
By registering as a Service Provider and using the Heroes Hive Website and Web Application, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Purpose and Scope
Heroes Hive FZ LLC provides a platform to connect Clients ("Hives") with vetted Service Providers ("Squads") for the execution of projects. This Agreement governs your obligations as a Service Provider, your interactions with Clients, and the Platform's role as an intermediary.
2. Registration and Account Requirements
2.1 Eligibility:
You represent and warrant that you are legally capable of entering into binding contracts and that all information provided during registration is accurate and complete.
2.2 Account Setup:
You are required to provide accurate details, including your legal name, company name (if applicable), contact information, and a valid payment method for receiving funds.
2.3 Bank Account Requirements:
You agree to provide a valid bank account that is capable of accepting payments in USD. Failure to provide such an account may result in delayed or canceled disbursements.
2.4 Account Security:
You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities performed under your account.
2.5 Profile and Public Information:
Your profile must accurately represent your expertise, services, and capabilities. Misrepresentation or false information may result in account suspension or termination.
3. Provision of Services
3.1 Performance Standards:
You agree to provide services to Clients with a high degree of professionalism, accuracy, and timeliness as agreed upon in the project scope.
3.2 Compliance:
You agree to comply with all applicable laws, regulations, and industry standards when performing services.
3.3 Communication:
You must maintain clear and prompt communication with Clients and provide updates as required.
3.4 Delivery:
All deliverables must align with the project agreement, including deadlines and quality standards. Failure to meet agreed deliverables may result in penalties, including refund claims or account suspension.
4. Fees and Payments
4.1 Platform Fee:
Heroes Hive FZ LLC charges a platform fee for facilitating transactions between you and Clients. The applicable fee structure will be communicated to you upon registration and may be updated periodically.
4.2 Payment Terms:
You will receive payment for completed work as agreed upon with the Client. Payments will be processed through Heroes Hive’s payment system after deducting the platform fee.
4.3 Disbursement:
Payments will be transferred to your registered bank account, which must accept USD, within the timeline specified in the Platform's payment policy.
4.4 Disputes and Payment Holds:
In the event of a dispute between you and a Client, Heroes Hive FZ LLC may place a hold on payments until the issue is resolved.
5. Refund Policy
This Refund Policy is incorporated into the Service Agreement and outlines conditions under which refunds may apply:
5.1 Eligibility for Refunds:
Refunds may be issued to Clients in cases of:
- Non-performance or failure to deliver services as agreed.
- Delays or failure to commence work without valid explanation.
- Mutual agreement between the Client and Service Provider to terminate the project.
5.2 Refund Process:
Refund claims must be submitted by the Client within 14 days of project completion or cancellation. Heroes Hive FZ LLC will review evidence provided by both parties before making a determination.
5.3 Refund Conditions:
- Partial Refunds: Issued when part of the work has been delivered but does not meet agreed standards.
- Full Refunds: Issued when no work has been delivered or when delivered work is deemed unsatisfactory.
- No Refunds: If the project scope has been met or the claim is made after the 14-day window.
5.4 Dispute Resolution:
Heroes Hive FZ LLC’s decision regarding refunds is final and binding.
6. Intellectual Property Rights
6.1 Ownership of Deliverables:
Unless otherwise agreed, all intellectual property rights in the work produced under this Agreement will transfer to the Client upon full payment.
6.2 Pre-existing IP:
You retain ownership of any intellectual property created independently of the Client’s project but grant the Client a license to use such material if incorporated into deliverables.
6.3 Confidentiality:
You must not disclose or use any confidential information obtained during a project for personal gain or for purposes unrelated to the project.
7. Dispute Resolution
7.1 Platform Mediation:
In the event of a dispute, Heroes Hive FZ LLC will mediate to resolve the issue. You agree to cooperate fully with the dispute resolution process.
7.2 Binding Resolution:
Heroes Hive FZ LLC’s final determination in disputes is binding and cannot be appealed.
8. Promotions and Offers
Heroes Hive FZ LLC may run promotions or offer discounts on its platform fees. You acknowledge that such promotions are time-limited and agree to abide by the terms of these promotions.
9. Warranties and Liabilities
9.1 No Warranty:
Heroes Hive FZ LLC provides the Website and Web Application 'as-is' and does not guarantee uninterrupted access or error-free functionality.
9.2 Limitation of Liability:
Heroes Hive FZ LLC’s total liability is limited to the platform fees collected for the disputed transaction. Heroes Hive FZ LLC is not liable for any indirect or consequential damages.
10. Account Suspension and Termination
10.1 Grounds for Suspension:
Heroes Hive FZ LLC may suspend or terminate your account for violations of this Agreement, fraudulent activity, or failure to comply with Client agreements.
10.2 Notice:
You will be notified of any account suspension or termination, and you may appeal the decision within the timeframe specified in the notice.
11. Amendments to Agreement
Heroes Hive FZ LLC reserves the right to modify this Agreement at any time. Notice of changes will be provided via email or through the Website and Web Application. Continued use of the Platform constitutes acceptance of the revised Agreement.
12. Governing Law and Jurisdiction
This Agreement is governed by the laws of the United Arab Emirates. Any disputes arising under this Agreement shall be resolved in the courts of the United Arab Emirates.
13. Acceptance of Terms
By registering as a Service Provider and using the Heroes Hive Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
